These Terms and Conditions govern the professional services provided by Sonic Synthesis Studio, operated by Mariano Ivan Briozzo, based in Buenos Aires, Argentina. By engaging our services, requesting a quote, or entering into a service agreement, you acknowledge that you have read, understood and agree to be bound by these terms.
If you are entering into this agreement on behalf of a company or other legal entity, you represent that you have the authority to bind that entity to these terms.
Sonic Synthesis Studio provides professional audio post-production services including, but not limited to:
The specific scope of services, deliverables, timelines and fees for each project are defined in a separate written proposal or service agreement issued prior to the commencement of work.
All fees are quoted in United States Dollars (USD) unless otherwise agreed in writing. Standard payment terms are as follows:
For projects exceeding USD 3,000, a phased payment schedule may be agreed upon in writing. All payments are non-refundable once work has commenced on the relevant phase of the project.
Late payments may incur a fee of 2% per month on the outstanding balance. Sonic Synthesis reserves the right to suspend delivery of materials until outstanding invoices are settled.
Delivery timelines are specified in the project proposal and commence from the date of receipt of the initial payment and all required project materials from the client. Timelines are contingent upon the client providing complete and timely feedback within the agreed revision windows.
Sonic Synthesis will not be held liable for delays caused by incomplete or late delivery of client-supplied materials, late feedback, or changes to the project scope after work has commenced.
Each project includes a specified number of revision rounds as outlined in the proposal, typically up to three rounds. A revision is defined as a single consolidated set of feedback delivered in writing. Additional revisions beyond the included rounds will be charged at the applicable hourly or per-session rate.
Revisions must be requested within 14 calendar days of delivery of each draft. Unrequested revisions after this period may be treated as acceptance of the delivered material.
Upon receipt of full and final payment, the client is granted full ownership of the delivered audio files for the specific project as agreed in the service proposal. This transfer of rights is governed by applicable intellectual property laws of the Republic of Argentina (Law 11.723).
Prior to full payment, all delivered materials remain the intellectual property of Sonic Synthesis Studio and may not be used, published or distributed without written authorization.
Sonic Synthesis retains the right to showcase excerpts of the completed work in its portfolio, demo reel, website and promotional materials, subject to any confidentiality provisions agreed upon in writing prior to the project commencement.
The client agrees to:
Sonic Synthesis agrees to keep all project-related information provided by the client strictly confidential and will not disclose it to any third party without prior written consent, except where required by law.
If confidentiality of the project itself is required, the client must notify Sonic Synthesis in writing before work commences, and both parties will agree on the specific terms of confidentiality.
Sonic Synthesis acknowledges that the final work may contain minor technical imperfections inherent to the creative and technical process. To the maximum extent permitted by applicable law, Sonic Synthesis shall not be held liable for indirect, incidental, consequential or punitive damages arising from the use of the delivered materials, including but not limited to loss of profits, loss of data or reputational damage.
The total liability of Sonic Synthesis for any claim arising from a project shall not exceed the total fees paid by the client for that specific project.
If the client cancels a project after work has commenced, the initial deposit is non-refundable. If work has progressed beyond the initial phase, a pro-rata fee may be charged for work completed up to the point of cancellation.
Sonic Synthesis reserves the right to cancel or decline a project at any time if the project materials are found to be illegal, defamatory or in violation of third-party rights. In such cases, any fees paid for work not yet commenced will be refunded.
These terms shall be governed by the laws of the Republic of Argentina. In the event of a dispute, both parties agree to first seek resolution through good-faith negotiation. If an amicable resolution cannot be reached, the matter shall be submitted to the jurisdiction of the Ordinary Courts of the Autonomous City of Buenos Aires.
